These Terms of Service (“Terms”) govern your access to and use of the services, products, software, and website made available by Plotbook.io (“we,” “us” or “our”), including but not limited to the online platform at plotbook.io, mobile applications, APIs, and any related services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms (including any documents incorporated by reference). If you do not agree with these Terms, you must not access or use the Services.

1. Definitions

  • Account: Your registered account to access the Services.
  • User Content: All data, content, and material you submit, upload, or generate via the Services.
  • Subscription Fees: Fees you pay to use paid features of the Services.
  • Customer Data: Personal Data and other information you upload or submit to the Services.
  • GDPR: General Data Protection Regulation (EU 2016/679) as incorporated into EU and UK law.

2. Eligibility and Acceptance

You represent and warrant that:

  • You are at least 18 years old;
  • You are not located in a country subject to U.S. embargoes or on any U.S. restricted party list;
  • You have the legal capacity to enter these Terms.

3. Account Registration & Security

You may be required to register for an Account to access certain features. You agree to:

  • Provide accurate and complete information;
  • Maintain the confidentiality of your credentials;
  • Notify us immediately of any unauthorized access.

4. Subscription, Billing & Payment

Subscription Plans:

Plotbook.io offers various subscription plans (e.g., Starter, Professional, Enterprise) with pricing and features listed on our website.

Billing:

Subscription Fees are charged in advance on a recurring basis. You authorize automatic billing via your selected payment method.

Taxes:

You are responsible for all taxes associated with your use of the Services.

Refund Policy:

Unless otherwise stated during checkout or required by applicable law, subscription fees are non-refundable.

5. Grant of License

Subject to your compliance with these Terms, Plotbook.io grants you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes during the subscription period.

6. User Content & Data

Ownership:

You retain rights to your User Content. By submitting User Content, you grant Plotbook.io a worldwide, royalty-free license to host, use, and display it to provide the Services.

Responsibility:

You are solely responsible for User Content and compliance with applicable laws.

7. Data Protection & Privacy

Your Privacy Policy describes how we collect, use, store, and share personal data. If you upload or provide personal data, you agree that Plotbook.io may process it in accordance with the Privacy Policy.

EU/UK GDPR:

If you (or your users) are in the EU/UK, GDPR may apply to processing of personal data. You acknowledge that Plotbook.io may act as a data controller (when determining purposes/means of processing) and/or data processor (when processing data on your behalf). We may offer or incorporate a Data Processing Addendum (DPA) or Standard Contractual Clauses to address cross-border transfers.

8. Acceptable Use

You agree not to use the Services for any unlawful purpose, including but not limited to:

  • Infringing third-party rights;
  • Violating laws, regulations, or third-party terms;
  • Transmitting malware or harmful data.

Plotbook.io may suspend accounts that violate this section.

9. Confidentiality

“Confidential Information” means non-public business information disclosed in connection with the Services. Each party agrees not to disclose Confidential Information except as required by law.

10. Intellectual Property Rights

Plotbook.io and its licensors retain all rights to the Services and intellectual property. You may not copy, modify, distribute, or create derivative works without express written permission.

11. Warranties & Disclaimers

No Warranty:

The Services are provided “as is” without warranties of any kind, whether express, implied, or statutory, including merchantability or fitness for a particular purpose. To the fullest extent allowed by law, Plotbook.io disclaims all such warranties.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Plotbook.io's total liability arising out of or related to these Terms or the Services will not exceed the amount you have paid us in the preceding 12 months (or $100 if you have paid nothing).

In no event will Plotbook.io be liable for indirect, incidental, consequential, or punitive damages. This limitation may not apply in jurisdictions that prohibit such exclusions.

13. Indemnification

You agree to indemnify and hold Plotbook.io and its officers harmless from any claims, losses, or expenses arising from your use of the Services or breach of these Terms.

14. Termination

By You: You may cancel your subscription as described during purchase or through account settings.

By Plotbook.io: We may suspend or terminate access if you breach these Terms.

Termination does not release you from paying accrued fees.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, U.S., without regard to conflict of law principles.

Arbitration:

Disputes may be resolved through binding arbitration, unless prohibited by local law. If arbitration is not enforceable, disputes will be resolved in courts of competent jurisdiction.

If the user is an EU/UK consumer, local consumer protection laws and jurisdiction may apply.

16. Changes to the Terms

We may update these Terms from time to time. We will notify you in advance of material changes, and continued use of the Services constitutes acceptance.

17. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy and any applicable DPA, are the entire agreement.
  • Severability: If any provision is unenforceable, the remainder remains effective.
  • Assignment: You may not assign these Terms without our consent.

Data Processing Addendum (DPA)

This Data Processing Addendum (“DPA”) forms part of the Terms of Service (“Agreement”) between Plotbook.io (“Plotbook”, “Processor”, “we”, “us”) and the customer entity using the Services (“Customer”, “Controller”, “you”).

This DPA applies when Plotbook processes Personal Data on behalf of Customer in connection with the Services.

1. Definitions

For purposes of this DPA:

  • “Personal Data” means any information relating to an identified or identifiable natural person.
  • “Processing” means any operation performed on Personal Data (e.g., collection, storage, use, disclosure, deletion).
  • “Data Subject” means the individual to whom Personal Data relates.
  • “Controller” and “Processor” have the meanings given under GDPR.
  • “Applicable Data Protection Law” includes:
    • EU General Data Protection Regulation (EU) 2016/679 (“GDPR”)
    • UK GDPR and Data Protection Act 2018
    • CCPA/CPRA where applicable
    • Any other applicable privacy or data protection law.

2. Roles of the Parties

  • Customer is the Data Controller (or business under CCPA) with respect to Customer Data.
  • Plotbook is the Data Processor (or service provider) processing Personal Data on behalf of Customer.

Plotbook will process Personal Data only on documented instructions from Customer, including as set out in the Agreement.

3. Nature and Purpose of Processing

Nature of Processing: Hosting, storage, analysis, organization, and transmission of Customer Data through the Plotbook prospecting and pipeline platform.

Purpose: To provide the Services under the Agreement.

Categories of Data Subjects may include:

  • Customer employees and contractors
  • End clients or prospects entered into the platform
  • Business contacts

Categories of Personal Data may include:

  • Name, email address, phone number
  • Employer and job title
  • Contact history and notes
  • Business-related prospecting data entered by Customer

4. Processor Obligations

Plotbook shall:

  1. Process only on instructions
    Process Personal Data solely to provide the Services and in accordance with Customer's instructions and this DPA.
  2. Confidentiality
    Ensure personnel authorized to process Personal Data are bound by confidentiality obligations.
  3. Security Measures
    Implement appropriate technical and organizational measures, including as appropriate:
    • Encryption in transit (HTTPS/TLS)
    • Access controls and authentication
    • Role-based permissions
    • Logging and monitoring
    • Secure hosting infrastructure
    • Regular security updates and patching
  4. No Unauthorized Selling or Use
    Plotbook will not:
    • Sell Personal Data
    • Retain, use, or disclose Personal Data outside the business relationship, except as permitted by law

5. Subprocessors

Customer authorizes Plotbook to use subprocessors (e.g., cloud hosting providers, analytics, email delivery).

Plotbook shall:

  • Enter into written agreements with subprocessors imposing data protection obligations equivalent to this DPA
  • Remain responsible for subprocessors' compliance
  • Provide a list of subprocessors upon request or via website disclosure

6. International Data Transfers

Plotbook is based in the United States. Where Personal Data is transferred from the EU/UK to the U.S., Plotbook will rely on appropriate safeguards, such as:

  • Standard Contractual Clauses (SCCs) adopted by the European Commission
  • UK International Data Transfer Addendum (where required)

These safeguards are deemed incorporated into this DPA by reference.

7. Data Subject Rights

Taking into account the nature of the processing, Plotbook will assist Customer, to the extent reasonably possible, in responding to requests from Data Subjects to exercise their rights under Applicable Data Protection Law, including:

  • Access
  • Rectification
  • Erasure
  • Restriction
  • Data portability
  • Objection

8. Data Breach Notification

If Plotbook becomes aware of a Personal Data Breach, Plotbook will:

  • Notify Customer without undue delay
  • Provide information reasonably necessary to help Customer meet its legal obligations
  • Take reasonable steps to mitigate and remediate the breach

9. Data Retention and Deletion

Upon termination of the Agreement or at Customer's request, Plotbook will:

  • Delete or return Personal Data, unless retention is required by law
  • Maintain backups only as part of standard archival processes, subject to security safeguards

10. Audits

Plotbook will make available information reasonably necessary to demonstrate compliance with this DPA.

Audits shall be:

  • Limited to once per year (unless required by law)
  • Conducted with reasonable notice
  • Subject to confidentiality

11. CCPA / CPRA Provisions (U.S.)

To the extent CCPA/CPRA applies:

  • Plotbook acts as a Service Provider
  • Plotbook shall not sell or share Personal Data
  • Plotbook shall not retain, use, or disclose Personal Data beyond providing the Services

12. Liability

Liability under this DPA is subject to the limitations of liability set forth in the main Terms of Service, unless prohibited by law.

13. Term

This DPA remains in effect for as long as Plotbook processes Personal Data on behalf of Customer.

14. Order of Precedence

If there is a conflict between this DPA and the Terms of Service, this DPA controls with respect to data protection matters.
